- Indirect Damages: Lost profits, lost opportunities, or consequential damages.
- Our maximum liability is limited to the value of fees paid in the last 12 months.
5. Intellectual Property

6. Payment and Cancellation
- Fees: Values agreed in specific commercial proposal for each project.
- Advance Payment: Services are initiated after payment confirmation as per proposal.
- Refund: Amounts already invested in government fees, registered agents, or third parties are non-refundable.
- Client Cancellation: You may cancel at any time, but amounts spent will not be returned.
- Cancellation by Offshore Proz: We may terminate the contract if we identify irregularities or violation of these terms.
7. Confidentiality
- All information shared by the client is treated as confidential.
- NDA (Non-Disclosure Agreement) available upon request before the first meeting.
- Information will only be disclosed upon:
- Express Consent: Written authorization from the client.
- Legal Obligation: Court order or request from competent authority.
- Authorized Providers: Partners necessary for service execution (under confidentiality).
8. Applicable Law and Venue
- These Terms are governed by the laws of the State of Florida, United States.
- Any dispute will be resolved in the courts of Fort Lauderdale, Broward County, Florida.
- The parties agree to attempt amicable resolution before any legal proceedings.
- If any provision is deemed invalid, the remainder shall remain in effect.
